Common use of Representations and Warranties of BDSI Clause in Contracts

Representations and Warranties of BDSI. BDSI hereby represents and warrants that: (a) BDSI either owns or licenses all of the Licensed Patents listed on Exhibit A hereto, and has the exclusive right to grant licenses and sublicenses therefore without the consent or approval of any Third Party, except as provided in Section 2.3; (b) BDSI owns or licenses all of the Licensed Technology in existence on the date of this Agreement, and has the right to grant licenses and sublicenses therefore without the consent or approval of any Third Party; (c) To the best of BDSI's knowledge, all the Licensed Patents listed on Exhibit A hereto are in full force and effect and have been maintained to date; and (d) BDSI has not entered into any agreement with any Third Party which is in conflict with the rights granted to BND pursuant to this Agreement.
