REPRESENTATIONS AND WARRANTIES OF BNP AND THE REIT. To induce the Contributing Parties to enter into this Agreement and the transactions contemplated hereby, BNP and the REIT hereby represents and warrants to the Contributing Parties that the statements contained in this Article VII are true, correct and complete as of the date hereof and will be true, correct and complete on the Closing Date. It is the express intention and agreement of BNP that the foregoing representations and warranties shall survive the consummation of the transactions contemplated in this Agreement, but only to the extent expressly provided in Article X hereof.
