REPRESENTATIONS AND WARRANTIES OF BONDS AND XXXXXX. The representations and warranties of Bonds and Xxxxxx contained herein, and the statements contained in any schedule, instrument, list, certificate or writing delivered by Bonds or Xxxxxx pursuant to this Agreement shall be true, complete and accurate as of the date when made and as of the Closing Date as though such representations and warranties were made at and as of such dates, except for any changes expressly permitted by this Agreement.
