Representations and Warranties of BPZ. Except as set forth in the disclosure schedule delivered by BPZ to Navidec prior to the execution of this Agreement (the "BPZ Disclosure Schedule") (each section of which qualifies the correspondingly numbered representation or warranty or covenant and any other representation or warranty, if the disclosure set forth in the BPZ Disclosure Schedule is readily applicable to such other representations or warranty), BPZ represents and warrants to Navidec as follows:
