REPRESENTATIONS AND WARRANTIES OF CAC, INTERMEDIATE AND EPL. Each of CAC, Intermediate and EPL hereby jointly and severally represents and warrants, as of the First Closing, to each Purchaser as set forth below, except as set forth in the SEC Reports (other than any risk factors included in the SEC Reports, or any disclosures relating to cautionary, predictive or forward-looking statements included in the SEC Reports) or in the applicable disclosure schedules delivered by the Company Group to Purchasers on the date hereof, which exceptions and supplements shall be deemed part of the representations and warranties hereunder.
