REPRESENTATIONS AND WARRANTIES OF COMMODORE AND CXI-ASI ACQUISITION CORP. The representations and warranties (whether or not so captioned) of Commodore and CXI-ASI Acquisition Corp. made in this Agreement or made by Commodore and CXI-ASI Acquisition Corp. in any document or certificate delivered to the Sciences Shareholders pursuant hereto shall be true and correct in all material respects on and as of the Closing Date with the same force and effect as though such representations and warranties had been made on and as of the Closing Date.
