Common use of Representations and Warranties of Corporation Clause in Contracts

Representations and Warranties of Corporation. The Corporation hereby represents and warrants to Shareholder that it has the requisite corporate power and authority to execute and deliver and to carry out the terms of this Agreement and any and all related documents or agreements. This Agreement and any related documents or agreements are valid and binding agreements of the Corporation.

The Corporation hereby represents and warrants to the Shareholder that it that: (c) the Corporation has the requisite corporate power and authority capacity to execute and deliver this Agreement and the Arrangement Agreement and to carry out perform its obligations hereunder; and (d) the terms execution, delivery and performance of this Agreement and any the Arrangement Agreement by the Corporation has been duly authorized by its board of directors and all related documents or agreements. This no other internal proceedings on its part is necessary to authorize this Agreement and any related documents or agreements are valid and binding agreements of the CorporationArrangement Agreement.
