Common use of Representations and Warranties of Corporation Clause in Contracts

Representations and Warranties of Corporation. The Corporation hereby represents and warrants to the Shareholder that: (c) the Corporation has the requisite corporate power and capacity to execute and deliver this Agreement and the Arrangement Agreement and to perform its obligations hereunder; and (d) the execution, delivery and performance of this Agreement and the Arrangement Agreement by the Corporation has been duly authorized by its board of directors and no other internal proceedings on its part is necessary to authorize this Agreement and the Arrangement Agreement.

Representations and Warranties of Corporation. The Corporation hereby represents and warrants to the Shareholder that: (c) the Corporation that it has the requisite corporate power and capacity authority to execute and deliver this Agreement and the Arrangement Agreement and to perform its obligations hereunder; and (d) carry out the execution, delivery and performance terms of this Agreement and the Arrangement Agreement by the Corporation has been duly authorized by its board of directors any and no other internal proceedings on its part is necessary to authorize this all related documents or agreements. This Agreement and any related documents or agreements are valid and binding agreements of the Arrangement AgreementCorporation.
