REPRESENTATIONS AND WARRANTIES OF CTLLC. Except as disclosed in a document of even date herewith and delivered by CTLLC and the CTLLC Members to Parent prior to the execution and delivery of this Agreement and referring to the section number and subsection of the representations and warranties in this Agreement, subject to its subsequent revision from time to time prior to the Effective Time (but only with the prior written consent of Parent), (the "CTLLC Disclosure Schedule"), CTLLC and each of the CTLLC Members, jointly and severally, represent and warrant to Parent and LLC Acquisition as follows:
