REPRESENTATIONS AND WARRANTIES OF DEPOSITOR AND SERVICER. In order to induce the Agent and the Lenders to enter into this Agreement and to induce the Lenders to make their respective Loans hereunder, each of the Trust Depositor and the Servicer, and with respect to Sections 3.06, 3.09 and 3.11 and subsection 3.06(b), CFUSA in its individual capacity, represents and warrants to the Lenders as follows:
