Representations and Warranties of Dxxxxx; Legends. (i) In connection with the issuance of the Dxxxxx Shares, Dxxxxx hereby represents and warrants to Holdings that (A) Dxxxxx is acquiring the Dxxxxx Shares for its own account for investment and not with a view to, or for sale in connection with, any distribution thereof, nor with the intention of distributing or reselling the same, (B) Dxxxxx is aware that none of the Dxxxxx Shares have been registered under the Securities Act of 1933, as amended (the “Securities Act”), or under applicable state securities or blue sky laws and (C) Dxxxxx is an “Accredited Investor” as such term is defined in Rule 501 of Regulation D, as promulgated under the Securities Act.
