Each Legal Entity, separately and not jointly, hereby represents and warrants to the QI as of the date hereof and on the date of each of the transactions described in Article II, Article III and Article IV hereof and covenants, where applicable, with the QI as follows:

Such Legal Entity has been duly organized and is in good standing and validly existing under the laws of the state of Delaware.
