Common use of Representations and Warranties of Federated Clause in Contracts

Representations and Warranties of Federated. Federated represents and warrants to the Investment Company that: (1) It is a corporation duly organized, existing and in good standing under the laws of the Commonwealth of Pennsylvania; (2) It is duly qualified to carry on its business in each jurisdiction where the nature of its business requires such qualification; (3) It is empowered under applicable laws, its organizational documents and company proceedings to enter into and perform this Agreement; (4) It has and will have access to the necessary facilities, equipment and personnel to perform its duties and obligations under this Agreement; and (5) It is in compliance with federal securities law requirements and is in good standing to serve as an administrator under this Agreement.

Representations and Warranties of Federated. Federated represents and warrants to the Investment Company that: (1) It is a corporation duly organized, existing and in good standing under the laws of the Commonwealth of Pennsylvania; (2) It is duly qualified to carry on its business in each jurisdiction where the nature of its business requires such qualification; (3) It is empowered under applicable laws, its organizational documents and company proceedings to enter into and perform this Agreement; (4) It has and will have access to the necessary facilities, equipment and personnel to perform its duties and obligations under this Agreement; and (5) It is in compliance with federal securities law requirements and is in good standing to serve as an administrator a transfer agent (either directly or through its subsidiary, Federated Shareholder Services Company) under this Agreement.
