Representations and Warranties of Flat Panel. Flat Panel hereby agrees and confirms that the representations and warranties made by it pursuant to subsection 3.1 of the Flat Panel Rollover Agreement shall apply mutatis mutandis in favour of Innovatech as if made in this Agreement and hereby acknowledges and confirms that Innovatech is relying upon such representations and warranties in connection herewith and would not have entered into this Agreement without such representations and warranties.
