Xxrmxx-Xxxx xxxresents and warrants to the Selling Shareholder and to the Fiduciary that it has full legal right, power and authority to enter into this Agreement, that this Agreement has been duly authorized, executed and delivered by Gormxx-Xxxx xxx, that when duly executed and delivered by each of the other parties hereto, this Agreement will constitute a valid and binding obligation of Gormxx-Xxxx.
