Representations and Warranties of GRWW and Subsidiary. The representations, warranties, and statements of GRWW and the Subsidiary contained in this Agreement and the Operative Documents will be complete, true, and accurate as of the date of this Agreement and will also be complete, true, and accurate at and as of Closing, except for changes contemplated by this Agreement, as if made on the Closing; and GRWW and the Subsidiary will have performed or complied with all agreements and covenants required by this Agreement to be performed or complied with by it at or prior to Closing.
