Representations and Warranties of HRKP and HRKP Stockholders. HRKP and the HRKP Stockholders, separately (both as to each HRKP Stockholder and HRKP and with respect to each HRKP Stockholder only as to any breach of the representation and warranties caused by such HRKP Stockholder or by HRKP) and not jointly and severally, represent and warrant to SCN that the statements contained in this Section 3 are correct and complete as of the date of this Agreement and will be correct and complete as of the Closing Date (as though made then and as though the Closing Date were substituted for the date of this Agreement throughout this Section 3), except as set forth in the disclosure schedule (the "Disclosure Schedule"). The Disclosure Schedule will be arranged in paragraphs corresponding to the lettered and numbered paragraphs contained in this Section 3. Information included in the Disclosure Schedules, regardless of the section of the Disclosure Schedule under which it appears, shall be deemed sufficient disclosure so long as such information constitutes fair notice. The Disclosure Schedule will be delivered upon execution of this Agreement; provided, however, that HRKP and the HRKP Stockholders shall have the right to update the Disclosure Schedule and deliver such updated Disclosure Schedule to SCN on the Closing Date.
