REPRESENTATIONS AND WARRANTIES OF JLH AND THE ACQUISITION COMPANY. Each of JLH (on its own behalf and, as more fully enumerated below, on behalf of each of its Subsidiaries) and the Acquisition Company (represents and warrants to CALCI that the statements contained in this section are correct and complete as of the date of this Agreement and will be correct and complete as of the Closing Date (as though made then and as though the Closing Date were substituted for the date of this Agreement throughout this section), except as set forth in the Disclosure Schedule which Disclosure Schedule shall be amended as of the Closing in order to accurately reflect the correctness and completeness of such representations and warranties as of the Closing. The Disclosure Schedule will be arranged in paragraphs corresponding to the numbered and lettered paragraphs contained in this section.
