To induce PNE to enter into and perform this Agreement, NextMedia represents, warrants and agrees as follows, which representations, warranties, covenants and agreements are being made as of the date hereof and shall be deemed to be made again as of the Closing:
REPRESENTATIONS AND WARRANTIES OF NEXTMEDIA. NextMedia makes the following representations and warranties to Cumulus, each of which is true and correct as of the date hereof, and shall be true and correct as of the Closing Date, and shall be unaffected by any investigation heretofore or hereafter made by any party. Each of the following representations and warranties are subject to exceptions set forth in full and complete Disclosure Statements corresponding to the numbered paragraphs in this Article 9. NextMedia will deliver these Disclosure Statements to Cumulus prior to the date of this Agreement.
