Representations and Warranties of Officer. Officer represents and warrants to the Company that (a) Officer is under no contractual or other restriction, arrangement or obligation which is or will be breached by or in conflict or inconsistent with his execution and delivery of this Agreement, the performance of his duties hereunder, or the other rights of the Company hereunder, and (b) Officer is under no physical or mental disability or incapacity that would hinder the performance of his duties under this Agreement.
