REPRESENTATIONS AND WARRANTIES OF P1. P1 represents and warrants to Buyer that except as disclosed in the P1 Disclosure Schedule (the “P1 Disclosure Schedule”), each of the representations and warranties contained in this Article 4 are true and correct as of the date hereof and will be true and correct as of the Effective Date, other than those representations and warranties that are made only as of the Effective Date which shall only be true and correct as of the Effective Date. The P1 Disclosure Schedule shall be arranged to correspond to the numbered and lettered Sections and Subsections contained in this Article 4 of this Agreement.
