Common use of Representations and Warranties of PEC and PDC Clause in Contracts

Representations and Warranties of PEC and PDC. PEC and PDC hereby jointly and severally represent and warrant to C Ezzexx xxxt: (i) they have all requisite power to enter into and perform their obligations under this Agreement; (ii) this Agreement has been duly and validly authorized by all necessary corporate action on the part of PEC and PDC; (iii) the execution of this Agreement by PEC and PDC and performance of their obligations hereunder do not require the consent or approval of any other party; and (iv) this Agreement is a valid and binding obligation of PEC and PDC.
