REPRESENTATIONS AND WARRANTIES OF PEOPLE'S CORP. People's Corp. hereby makes the following representations and warranties to Xxxxxxx and Merger Sub as set forth in this Article III, each of which is being relied upon by Xxxxxxx and Merger Sub as a material inducement to enter into and perform this Agreement. All of the disclosure schedules of People's Corp. referenced below and thereby required of People's Corp. pursuant to this Agreement, which disclosure schedules shall be cross-referenced to the specific sections and subsections of this Agreement and delivered herewith, are referred to herein as the "People's Corp. Disclosure Schedule."
