Representations and Warranties of PMC. PMC represents and warrants to the Company that: (a) It is duly organized and existing, and in good standing, pursuant to the laws of the State of New Jersey; (b) It has the requisite corporate authority to enter into this Services Agreement and to perform its obligations hereunder; and (c) The terms and conditions of this Services Agreement do not violate any provision of its Articles of Incorporation, Bylaws or any other agreement to which it is a party.
