Representations and Warranties of Price Services. Price Services represents and warrants to the Company that: a. It is a corporation duly organized, existing and in good standing under the laws of the State of Maryland. b. It is authorized to enter into this Agreement, and the performance of its obligations hereunder does not and will not violate or conflict with any governing documents or agreements of or on behalf of the Portfolios. c. It agrees to notify the Company promptly in the event that it is, for any reason, unable to perform any of its obligations under this Agreement.
