REPRESENTATIONS AND WARRANTIES OF PUBCO AND THE PUBCO SUBSIDIARY. Except as set forth in the Pubco Disclosure Letter, Pubco and the Pubco Subsidiary represent and warrant to Priveco and the Priveco Security Holders and acknowledge that Priveco and the Priveco Security Holders are relying upon such representations and warranties in connection with the execution, delivery and performance of this Agreement, notwithstanding any investigation made by or on behalf of Priveco or the Priveco Security Holders, as follows:
