REPRESENTATIONS AND WARRANTIES OF PURCHASER AND STONEPATH. As a material inducement to the Shareholders to execute this Agreement and the Ancillary Agreements and to consummate the transactions contemplated hereby and thereby, Purchaser and Stonepath hereby represent and warrant to the Shareholders that, except as set forth in the reports filed by Stonepath with the SEC, each of the following representations and warranties are true and correct as of the date of this Agreement and will be true and correct as of the Closing Date.
