REPRESENTATIONS AND WARRANTIES OF R2. Except as otherwise disclosed herein or in the R2 disclosure schedule attached hereto, R2 hereby represents and warrants to Pubco as of the date hereof and as of the Closing Date (unless otherwise indicated), as follows:
REPRESENTATIONS AND WARRANTIES OF R2. Except as qualified by the R2 Disclosure Letter, R2 hereby makes to and in favour of San Antonio the representations and warranties as set forth in Schedule "A" to this Agreement and acknowledges that San Antonio is relying upon such representations and warranties in connection with entering into this Agreement and agreeing to complete the Amalgamation and the other transactions contemplated herein.
