REPRESENTATIONS AND WARRANTIES OF SELLER AND THE COMPANY. As a material inducement to Buyer to enter into this Agreement and to consummate the transactions contemplated hereby, Seller, the Principal Owners, and the Company jointly and severally represent and warrants as of the date hereof, except as set forth on the Disclosure Schedules (or as disclosed in any other section, subsection or clause of the Disclosure Schedule to the extent that the applicability to such other section, subsection or clause is reasonably apparent on its face) to Buyer as set forth below.
