REPRESENTATIONS AND WARRANTIES OF SELLER AS TO THE. Receivables. The Seller hereby represents and warrants that each of the ----------- representations and warranties set forth on the Schedule of Representations attached hereto as Schedule B is true and correct. The Purchaser is hereby deemed to have relied upon each of the representations and warranties set forth on the Schedule of Representations in acquiring the Receivables. The Issuer is hereby deemed to have relied upon each of the representations and warranties set forth on the Schedule of Representations in acquiring the Receivables and issuing the Notes. The Indenture Trustee is hereby deemed to have relied upon each of the representations and warranties set forth on the Schedule of Representations in authenticating the Notes. The Noteholders are hereby deemed to have relied upon each of the representations and warranties set forth on the Schedule of Representations in purchasing the Notes. Such representations speak as of the Closing Date, but shall survive the sale, transfer and assignment of the Receivables hereunder and the sale, transfer and assignment thereof by Purchaser to the Issuer under the Sale and Servicing Agreement. The representations and warranties contained in items 21 through 28 on Schedule B may not be waived.
