REPRESENTATIONS AND WARRANTIES OF SELLERS AND XXXXX. Xxxxxxx and Heinz (with respect to Sections 3.1, 3.2, 3.3, 3.4, 3.10, 3.15 and 3.22), as applicable, represent and warrant to Purchaser as follows:
REPRESENTATIONS AND WARRANTIES OF SELLERS AND XXXXX. Each Seller and Xxxxx hereby, jointly and severally, represents and warrants to Purchaser that, except as set forth in the Sellers' disclosure schedules attached hereto as Schedule IV or in any updates to such disclosure schedules delivered to Purchaser by Sellers or Xxxxx on or before March 28, 2006 (in each case which indicates the specific subsection of this Article IV to which each disclosure or exception is made, and which disclosures and exceptions shall be deemed to be representations and warranties as if made hereunder) (the "Sellers' Disclosure Schedule"), and except for events occurring after March 28, 2006 in the ordinary course of the Business and consistent with Sellers' and Xxxxx'x past practices, the following statements are true, accurate and complete as of the date of this Agreement (provided that those representations and warranties which address matters only as of a particular date shall be true and correct as of such date):
