Representations and Warranties of Sellers Regarding the Group. Sellers, jointly and severally, hereby make to H&E the representations and warranties set forth in this Article VI, and acknowledge that H&E is relying upon such representations and warranties in connection with the execution of this Agreement and the consummation of the Transaction, notwithstanding any investigation made or conducted by H&E or on its behalf. However, the representations and warranties made in this Article VI with respect to Eagle S-Corp (except with respect to Eagle S-Corp as a Predecessor to the Company) are made solely by Eagle S-Corp Shareholders, jointly and severally.
