REPRESENTATIONS AND WARRANTIES OF SKAN. SKAN hereby makes the following representations and warranties to BSB Bancorp as set forth in this Article III, each of which is being relied upon by BSB Bancorp as a material inducement to enter into and perform this Agreement. All of the disclosure schedules of SKAN referenced below and thereby required of SKAN pursuant to this Agreement, which disclosure schedules shall be cross-referenced to the specific sections and subsections of this Agreement and delivered herewith, are referred to herein as the "SKAN Disclosure Schedule."
