REPRESENTATIONS AND WARRANTIES OF SPLC AND SOPUS. SPLC and SOPUS each hereby represent and warrant, as applicable, to SHLX and Operating that, except as disclosed in the disclosure letter delivered to SHLX and Operating on the date of this Agreement (“Disclosure Letter”) (it being understood that any information set forth on any section of the Disclosure Letter shall be deemed to apply to and qualify all sections or subsections of this Agreement to the extent that it is reasonably apparent on its face that such information is relevant to such other sections or subsections):
