REPRESENTATIONS AND WARRANTIES OF SUN MEDICAL. Sun Medical represents and warrants to the Sellers that each of the following matters is true and correct in all respects as of the Closing Date (with the understanding that the Sellers are relying materially on such representations and warranties in entering into and performing this Agreement), which representations and warranties shall also be deemed made as of the Effective Time and which shall survive the Closing and not be merged therein:
