REPRESENTATIONS AND WARRANTIES OF TD BANKNORTH. At least one day prior to the execution and delivery of this Agreement, TD Banknorth has delivered to Hxxxxx United a schedule (the “TD Banknorth Disclosure Schedule”) setting forth, among other things, items the disclosure of which is necessary or appropriate either in response to an express disclosure requirement contained in a provision hereof or as an exception to one or more of TD Banknorth’s representations or warranties contained in this Article V, or to one of TD Banknorth’s covenants contained in Article VI. Except as set forth in the corresponding section of the TD Banknorth Disclosure Schedule, TD Banknorth hereby represents and warrants to Hxxxxx United as follows:
