REPRESENTATIONS AND WARRANTIES OF THE ACQUIRED COMPANY AND THE FOUNDING STOCKHOLDERS. The Founding Stockholders hereby jointly and severally make to the Purchaser the representations and warranties contained in this Section 2, except that each Founding Stockholder makes the representations in Sections 2.2(b), 2.4(b), 2.6 (second sentence) and 2.10 as to such Founding Stockholder severally as to himself. Such representations and warranties are subject to the qualifications and exceptions set forth in the disclosure schedule delivered to the Purchaser pursuant to this Agreement (the "Disclosure Schedule") and to the occurrence of the transactions contemplated by this Agreement and related agreements and documents. Subject to the provisions of Section 4.1(j) and Section 4.2(f), all representations and warranties are made as of the date of this Agreement unless they expressly provide otherwise.
