REPRESENTATIONS AND WARRANTIES OF THE ADVENTIST PARTIES. The following representations, warranties and agreements are made by Buyer and Adventist Health for the purpose of inducing Seller to enter into this Agreement and consummate the sale and purchase of the Acquired Assets. The representations based on the knowledge of Buyer and/or Adventist Health (“Buyer’s Knowledge Representations”) shall be limited to the actual knowledge of Buyer and/or Adventist Health, as the case may be. Seller acknowledges that Buyer has not undertaken any investigation related to Buyer’s Knowledge Representations out of the ordinary course of their business.
