Representations and Warranties of the Borrower Relating to the Receivables. The Borrower hereby represents and warrants as of each Funding Date, as follows: (a) Schedule C and the information contained in the related Funding Request is an accurate and complete listing in all material respects of the Receivables (including the Receivables being transferred on such Funding Date) constituting a portion of the Collateral as of the date of the related Loan and the information contained therein with respect to the identity of such Receivables and the amounts owing thereunder is true and correct in all material respects as of the related Cutoff Date; and (b) each Receivable referenced on the related Funding Request is an Eligible Receivable.
