Representations and Warranties of the Co-Obligor. Subject to the limitations set forth in Section 8, the Co-Obligor hereby represents and warrants to the Seller that the representations and warranties set forth in Annex 7.3 are true and correct in all material respects on both the date of this Agreement and the Closing Date, except that those representations and warranties which are explicitly made as of a specific date shall be true and correct only as of such date.
