The Company hereby represents and warrants to the Purchasers on behalf of itself, its non-PRC Subsidiaries, as set forth on Schedule 2.1(e), and Keyuan Plastics Co., Ltd. (the “PRC Subsidiary”), a subsidiary incorporated under the laws of the People’s Republic of China (“PRC”), as of the date hereof (except as set forth on the Schedule of Exceptions attached hereto with each numbered Schedule corresponding to the section number herein), as follows:
