Common use of Representations and Warranties of the Concessionaire Clause in Contracts

Representations and Warranties of the Concessionaire. The Concessionaire represents and warrants to the Authority that: 1. it is duly organised and validly existing under the laws of India, and has full power and authority to execute and perform its obligations under this Agreement and to carry out the transactions contemplated hereby; 2. it has taken all necessary corporate and other actions under Applicable Laws to authorise the execution and delivery of this Agreement and to validly exercise its rights and perform its obligations under this Agreement;

Representations and Warranties of the Concessionaire. 7.1.1 The Concessionaire represents and warrants to the Authority that: 1. (a) it is duly organised and validly existing under the laws of India, and has full power and authority to execute and perform its obligations under this Agreement and to carry out the transactions contemplated hereby; 2. (b) it has taken all necessary corporate and other actions under Applicable Laws to authorise the execution and delivery of this Agreement and to validly exercise its rights and perform its obligations under this Agreement;

(ii) it has taken all necessary corporate and other actions under Applicable Laws to authorise authorize the execution and delivery of this Agreement and to validly exercise its rights and perform its obligations under this Agreement; (iii) it has the financial standing and capacity to undertake the Project in accordance with the terms of this Agreement;
