Except as otherwise set forth on the Disclosure Schedule attached hereto (the "Disclosure Schedule"), such Disclosure Schedule to be arranged in sections corresponding to the numbered and lettered sections contained in this Section 3 (it being understood, however, that any disclosure set forth in any section of the Disclosure Schedule shall be deemed to qualify all other sections in this Section 3 to which such disclosure may be applicable), the Corporation and the Founders hereby jointly and severally represent and warrant to the Investors as follows:
