Representations and Warranties of the Depositor and the Seller. (a) The Depositor hereby represents and warrants to the Issuer, the Indenture Trustee for the benefit of Noteholders, the Securities Administrator, the Master Servicer, the Seller and the Servicer as of the Closing Date or such other date as is specified, that: (i) This Agreement constitutes a legal, valid and binding obligation of the Depositor, enforceable against the Depositor in accordance with its terms, except as enforceability may be limited by applicable bankruptcy, insolvency, reorganization, moratorium or other similar laws now or hereafter in effect affecting the enforcement of creditors’ rights in general and except as such enforceability may be limited by general principles of equity (whether considered in a proceeding at law or in equity); (ii) Immediately prior to the transfer by the Depositor to the Trust Estate of each Mortgage Loan, the Depositor had good and equitable title to each Mortgage Loan (insofar as such title was conveyed to it by the Seller) subject to no prior lien, claim, participation interest, mortgage, security interest, pledge, charge or other encumbrance or other interest of any nature; (iii) As of the Closing Date, the Depositor has transferred all right, title and interest in the Mortgage Loans to the Trust Estate; (iv) The Depositor has not transferred the Mortgage Loans to the Trust Estate with any intent to hinder, delay or defraud any of its creditors; and (v) The Depositor has been duly organized and is validly existing as a corporation in good standing under the laws of Delaware, with full power and authority to own its assets and conduct its business as presently being conducted. (b) The Seller hereby represents and warrants to the Issuer, the Indenture Trustee for the benefit of Noteholders, the Securities Administrator, the Master Servicer and the Depositor as of the Closing Date or such other date as is specified, that: (i) the Seller is a Georgia corporation, duly organized validly existing and in good standing under the laws of the State of Georgia, and has the corporate power to own its assets and to transact the business in which it is currently engaged. The Seller is duly qualified to do business as a foreign corporation and is in good standing in each jurisdiction in which the character of the business transacted by it or any properties owned or leased by it requires such qualification and in which the failure so to qualify would have a material adverse effect on the business, properties, assets, or condition (financial or other) of the Seller; (ii) the Seller has the corporate power and authority to make, execute, deliver and perform this Agreement and all of the transactions contemplated under the Agreement, and has taken all necessary corporate action to authorize the execution, delivery and performance of this Agreement. When executed and delivered, this Agreement will constitute the legal, valid and binding obligation of the Seller enforceable in accordance with its terms, except as enforcement of such terms may be limited by bankruptcy, insolvency or similar laws affecting the enforcement of creditors’ rights generally and by the availability of equitable remedies; (iii) the Seller is not required to obtain the consent of any other party or any consent, license, approval or authorization from, or registration or declaration with, any governmental authority, bureau or agency in connection with the execution, delivery, performance, validity or enforceability of this Agreement, except for such consent, license, approval or authorization, or registration or declaration, as shall have been obtained or filed, as the case may be, prior to the Closing Date; (iv) the execution, delivery and performance of this Agreement by the Seller will not violate any provision of any existing law or regulation or any order or decree of any court applicable to the Seller or any provision of the articles of incorporation or bylaws of the Seller, or constitute a material breach of any mortgage, indenture, contract or other agreement to which the Seller is a party or by which the Seller may be bound; (v) no litigation or administrative proceeding of or before any court, tribunal or governmental body is currently pending, or to the knowledge of the Seller threatened, against the Seller or any of its properties or with respect to this Agreement which in the opinion of the Seller has a reasonable likelihood of resulting in a material adverse effect on the transactions contemplated by this Agreement; and (vi) the Seller has been organized in conformity with the requirements for qualification as a REIT; the Seller will file with its federal income tax return for its taxable year ended December 31, 2004, an election to be treated as a REIT for federal income tax purposes; and the Seller currently qualifies as, and it proposes to operate in a manner that will enable it to continue to qualify as, a REIT. (c) The Seller hereby makes for the benefit of the Issuer, the Indenture Trustee for the benefit of Noteholders, the Securities Administrator, the Master Servicer and the Depositor as of the Closing Date or such other date as is specified, with respect to the Mortgage Loans, the representations and warranties set forth in Exhibit A of the Mortgage Loan Purchase Agreement. (d) To the extent that any fact, condition or event with respect to a Mortgage Loan constitutes a breach of a representation or warranty of the Seller under subsection (c) above or the Mortgage Loan Purchase Agreement, the only right or remedy of the Indenture Trustee or any Noteholder hereunder shall be their rights to enforce the obligations of the Seller under any applicable representation or warranty made by it. The Indenture Trustee on behalf of the Issuer acknowledges that the Depositor shall have no obligation or liability with respect to any breach of any representation or warranty with respect to the Mortgage Loans (except as set forth in Section 3.01(a)(ii)) under any circumstances.

(vvi) The Depositor has been duly organized and is validly existing as a corporation in good standing under the laws of the State of Delaware, with full power and authority to own its assets and conduct its business as presently being conducted.; and
(b) The Seller hereby represents and warrants to the Issuer, the Indenture Trustee for the benefit of Noteholders, the Securities Trust Administrator, the Master Servicer and the Depositor as of the Closing Date or such other date as is specified, that:
(i) the Seller is a Georgia corporation______________, duly organized validly existing and in good standing under the laws of the State of Georgia_____________, and has the corporate power to own its assets and to transact the business in which it is currently engaged. (c) The Seller hereby makes for the benefit of represents and warrants to the Issuer, the Indenture Trustee for the benefit of Noteholders, the Securities Trust Administrator, the Master Servicer and the Depositor as of the Closing Date with respect to the Initial Mortgage Loans and the Subsequent Transfer Date with respect to the Subsequent Transfer Date or such other date as is specified, with respect to the Mortgage Loans, the representations and warranties set forth in Exhibit A Schedule II of the Mortgage Loan Purchase Agreement.
(d) To the extent that any fact, condition or event with respect to a Mortgage Loan constitutes a breach of a representation or warranty of the Seller under subsection (c) above or the Mortgage Loan Purchase Agreement, the only right or remedy of the Indenture Trustee or any Noteholder Certificateholder hereunder shall be their rights to enforce the obligations of the Seller under any applicable representation or warranty made by it. The Indenture Trustee on behalf of the Issuer acknowledges that the Depositor shall have no obligation or liability with respect to any breach of any representation or warranty with respect to the Mortgage Loans (except as set forth in Section 3.01(a)(ii)) under any circumstances.

(v) no litigation or administrative proceeding of or before any court, tribunal or governmental body is currently pending, or to the knowledge of the Seller threatened, against the Seller or any of its properties or with respect to this Agreement which in the opinion of the Seller has a reasonable likelihood of resulting in a material adverse effect on the transactions contemplated by this Agreement; and
(vi) the Seller has been organized in conformity with the requirements for qualification as a REIT; the Seller will file with its federal income tax return for its taxable year years ended December 31, 2003 and December 31, 2004, an election to be treated as a REIT for federal income tax purposes; and the Seller currently qualifies as, and it proposes to operate in a manner that will enable it to continue to qualify as, a REIT.
(c) The Seller hereby makes for the benefit of represents and warrants to the Issuer, the Indenture Trustee for the benefit of Noteholders, the Securities Trust Administrator, the Master Servicer Servicer, the Subservicer and the Depositor as of the Closing Date or such other date as is specified, with respect to the Mortgage Loans, the representations and warranties set forth in Exhibit A Section 3.2 of the Mortgage Loan Purchase Agreement.
(d) To the extent that any fact, condition or event with respect to a Mortgage Loan constitutes a breach of a representation or warranty of the Seller under subsection (c) above or the Mortgage Loan Purchase Agreement, the only right or remedy of the Indenture Trustee or any Noteholder Certificateholder hereunder shall be their rights to enforce the obligations of the Seller under any applicable representation or warranty made by it. The Indenture Trustee on behalf of the Issuer acknowledges that the Depositor shall have no obligation or liability with respect to any breach of any representation or warranty with respect to the Mortgage Loans (except as set forth in Section 3.01(a)(ii)) under any circumstances.

(d) To the extent that any fact, condition or event with respect to a Mortgage Loan constitutes a breach of a representation or warranty of the Seller under subsection (c) above or the Mortgage Loan Purchase Agreement, the only right or remedy of the Indenture Trustee or any Noteholder Certificateholder hereunder shall be their rights to enforce the obligations of the Seller under any applicable representation or warranty made by it. The Indenture Trustee on behalf of the Issuer acknowledges that the Depositor shall have no obligation or liability with respect to any breach of any representation or warranty with respect to the Mortgage Loans (except as set forth in Section 3.01(a)(ii)) under any circumstances.

Representations and Warranties of the Depositor and the Seller. (ii) Immediately prior to the transfer by the Depositor to the Trust Estate of each Mortgage Loan, the Depositor had good and equitable title to each Mortgage Loan (insofar as such title was conveyed to it by the Seller) subject to no prior lien, claim, participation interest, mortgage, security interest, pledge, charge or other encumbrance or other interest of any nature;
(iii) As of the Closing Date, the Depositor has transferred all right, title and interest in the Mortgage Loans to the Trust EstateTrustee on behalf of the Trust;
(iv) The Depositor has not transferred the Mortgage Loans to the Trust Estate with any intent to hinder, delay or defraud any of its creditors; and
(v) The Depositor has been duly organized and is validly existing as a corporation in good standing under the laws of Delaware, with full power and authority to own its assets and conduct its business as presently being conducted.
(b) The Seller hereby represents and warrants to the Issuer, the Indenture Trustee for the benefit of NoteholdersCertificateholders, the Securities Administrator, the Master Servicer and the Depositor as of the Closing Date or such other date as is specified, that:
(i) the Seller is a Georgia corporation, duly organized validly existing and in good standing under the laws of the State of Georgia, and has the corporate power to own its assets and to transact the business in which it is currently engaged. The Seller is duly qualified to do business as a foreign corporation and is in good standing in each jurisdiction in which the character of the business transacted by it or any properties owned or leased by it requires such qualification and in which the failure so to qualify would have a material adverse effect on the business, properties, assets, or condition (financial or other) of the Seller;
(ii) the Seller has the corporate power and authority to make, execute, deliver and perform this Agreement and all of the transactions contemplated under the Agreement, and has taken all necessary corporate action to authorize the execution, delivery and performance of this Agreement. When executed and delivered, this Agreement will constitute the legal, valid and binding obligation of the Seller enforceable in accordance with its terms, except as enforcement of such terms may be limited by bankruptcy, insolvency or similar laws affecting the enforcement of creditors’ rights generally and by the availability of equitable remedies;
(iii) the Seller is not required to obtain the consent of any other party or any consent, license, approval or authorization from, or registration or declaration with, any governmental authority, bureau or agency in connection with the execution, delivery, performance, validity or enforceability of this Agreement, except for such consent, license, approval or authorization, or registration or declaration, as shall have been obtained or filed, as the case may be, prior to the Closing Date;
(iv) the execution, delivery and performance of this Agreement by the Seller will not violate any provision of any existing law or regulation or any order or decree of any court applicable to the Seller or any provision of the articles of incorporation or bylaws of the Seller, or constitute a material breach of any mortgage, indenture, contract or other agreement to which the Seller is a party or by which the Seller may be bound;; and
(v) no litigation or administrative proceeding of or before any court, tribunal or governmental body is currently pending, or to the knowledge of the Seller threatened, against the Seller or any of its properties or with respect to this Agreement which in the opinion of the Seller has a reasonable likelihood of resulting in a material adverse effect on the transactions contemplated by this Agreement; and
(vi) the Seller has been organized in conformity with the requirements for qualification as a REIT; the Seller will file with its federal income tax return for its taxable year ended December 31, 2004, an election to be treated as a REIT for federal income tax purposes; and the Seller currently qualifies as, and it proposes to operate in a manner that will enable it to continue to qualify as, a REIT.
(c) The Seller hereby makes for the benefit of the Issuer, the Indenture Trustee for the benefit of NoteholdersCertificateholders, the Securities Administrator, the Master Servicer and the Depositor as of the Closing Date or such other date as is specified, with respect to the Mortgage Loans, the representations and warranties set forth in Exhibit A of the Mortgage Loan Purchase Agreement.
(d) To the extent that any fact, condition or event with respect to a Mortgage Loan constitutes a breach of a representation or warranty of the Seller under subsection (c) above or the Mortgage Loan Purchase Agreement, the only right or remedy of the Indenture Trustee or any Noteholder Certificateholder hereunder shall be their rights to enforce the obligations of the Seller under any applicable representation or warranty made by it. The Indenture Trustee on behalf of the Issuer Trust acknowledges that the Depositor shall have no obligation or liability with respect to any breach of any representation or warranty with respect to the Mortgage Loans (except as set forth in Section 3.01(a)(ii)) under any circumstances.

Representations and Warranties of the Depositor and the Seller. Each of the Seller and the Depositor, each as to itself, represents and warrants to, and agrees with the Underwriters that:
(a) The Depositor hereby represents Registration Statement has become effective under the 1933 Act. The Registration Statement complies, and warrants any amendment to the IssuerRegistration Statement at the time such amended Registration Statement becomes effective will comply, in all material respects with the requirements of the 1933 Act and the Rules and Regulations. The Registration Statement at the time such Registration Statement became effective did not, and any amendment to the Registration Statement at the time such amended Registration Statement becomes effective will not, contain any untrue statement of a material fact or omit to state any material fact required to be stated therein or necessary to make the statements therein not misleading. The Prospectus as of its date did not, and the Prospectus as amended or supplemented as of the Closing Time (as defined herein) will not, contain any untrue statement of a material fact or omit to state a material fact necessary in order to make the statements therein, in the light of the circumstances under which they were made, not misleading; provided, however, that the representations and warranties in this subsection shall not apply to omissions of information from the Registration Statement or Prospectus that are solely included in the Computational Materials distributed by an Underwriter in violation of Section 2(a) hereof or statements in, or omissions from, the Indenture Trustee Registration Statement or Prospectus made in reliance upon and in conformity with information furnished to the Depositor in writing by the Underwriters or the Certificate Insurer expressly for use in the benefit of NoteholdersRegistration Statement or Prospectus. Assuming compliance by each Underwriter with Section 2(a) hereof, the Securities Administratorconditions to the use by the Depositor of a registration statement on Form S-3 under the 1933 Act, as set forth in the General Instructions to Form S-3, have been satisfied with respect to the Registration Statement and the Prospectus. There are no contracts or documents of the Depositor that are required to be filed as exhibits to the Registration Statement pursuant to the 1933 Act or the Rules and Regulations that have not been so filed on or prior to the effective date of the Registration Statement.
(b) Since the respective dates as of which information is given in the Prospectus, or the Prospectus as amended and supplemented at the Closing Time, there has not been any material adverse change in the general affairs, management, financial condition, or results of operations of any of the Servicer, the Master Servicer, the Seller or the Depositor or of their subsidiaries, otherwise than as set forth in the Prospectus or the Prospectus as amended and supplemented at the Closing Time.
(c) Each of the Servicer, the Master Servicer, the Seller and the Servicer as of the Closing Date or such other date as is specified, that:
(i) This Agreement constitutes a legal, valid and binding obligation of the Depositor, enforceable against the Depositor in accordance with its terms, except as enforceability may be limited by applicable bankruptcy, insolvency, reorganization, moratorium or other similar laws now or hereafter in effect affecting the enforcement of creditors’ rights in general and except as such enforceability may be limited by general principles of equity (whether considered in a proceeding at law or in equity);
(ii) Immediately prior to the transfer by the Depositor to the Trust Estate of each Mortgage Loan, the Depositor had good and equitable title to each Mortgage Loan (insofar as such title was conveyed to it by the Seller) subject to no prior lien, claim, participation interest, mortgage, security interest, pledge, charge or other encumbrance or other interest of any nature;
(iii) As of the Closing Date, the Depositor has transferred all right, title and interest in the Mortgage Loans to the Trust Estate;
(iv) The Depositor has not transferred the Mortgage Loans to the Trust Estate with any intent to hinder, delay or defraud any of its creditors; and
(v) The Depositor has been duly organized incorporated and is validly existing as a corporation in good standing under the laws of Delawareits respective jurisdiction of incorporation, with the full right, power and authority (corporate and other) to own own, lease and operate its assets properties and conduct its business as presently being conducted.
(b) The Seller hereby represents described in the Prospectus and warrants to the Issuerenter into and perform its obligations under this Agreement, the Indenture Trustee for the benefit of NoteholdersPooling and Servicing Agreement, the Securities AdministratorInsurance Agreement and the Indemnification Agreement, as applicable, and to cause the Certificates to be issued; each of the Servicer, the Master Servicer and the Depositor as of the Closing Date or such other date as is specified, that:
(i) the Seller is a Georgia corporation, duly organized validly existing and in good standing under the laws of the State of Georgia, and has the corporate power to own its assets and to transact the business in which it is currently engaged. The Seller is duly qualified to do business as a foreign corporation to transact business and is in good standing in each jurisdiction in which the character of the business transacted by it or any properties owned or leased by it requires such qualification and in which the qualification, except where failure to be so to qualify qualified would not have a material adverse effect on the business, properties, assets, business or financial condition (financial or other) of any of the Servicer, the Master Servicer or the Seller;; and [the Master Servicer and the Servicer are each duly authorized under the statutes that regulate the business of making first and junior lien mortgage loans or of financing the sale of goods (commonly called "small loan laws," "consumer finance laws," or "sales finance laws"),] or are permitted under the general interest statutes and related laws and court decisions, to conduct in the various jurisdictions in which any of them do business the businesses as currently conducted therein by any of them.
(iid) There are no legal or governmental proceedings pending to which the Master Servicer, the Servicer, the Seller or the Depositor is a party or of which any property of the Master Servicer, the Servicer, the Seller or the Depositor is the subject, which if determined adversely to the Master Servicer, the Servicer, the Seller or the Depositor would individually or in the aggregate have a material adverse effect on the financial position, shareholders' equity or results of operations of the Master Servicer, the Servicer, the Seller or the Depositor; and to the best knowledge of the Depositor and the Seller, no such proceedings are threatened or contemplated by governmental authorities or threatened by others.
(e) This Agreement has been duly authorized, executed and delivered by the corporate power Seller and authority to makethe Depositor, executeand the Pooling and Servicing Agreement, deliver the Insurance Agreement and perform the Indemnification Agreement, when executed and delivered as contemplated hereby and thereby, will have been duly authorized, executed and delivered by the Seller, the Depositor, the Master Servicer, the Servicer, the Trustee, the Underwriter and the Certificate Insurer, as appropriate, and this Agreement constitutes, and all of the transactions contemplated under the Pooling and Servicing Agreement, the Insurance Agreement and has taken all necessary corporate action to authorize the execution, delivery and performance of this Agreement. When Indemnification Agreement when executed and delivereddelivered as contemplated herein and therein will constitute, this Agreement will constitute the legal, valid and binding obligation of instruments enforceable against the Seller enforceable Seller, the Depositor, the Master Servicer or the Servicer, as applicable, in accordance with its their respective terms, except subject as enforcement of such terms may be limited by to enforceability (i) to applicable bankruptcy, insolvency reorganization, insolvency, moratorium or other similar laws affecting the creditors' rights generally, (ii) to general principles of equity (regardless of whether enforcement of creditors’ rights generally is sought in a proceeding in equity or at law) and by the availability of equitable remedies;
(iii) with respect to rights of indemnity under this Agreement and the Seller is not required Indemnification Agreement, to obtain limitations of public policy under applicable securities laws.
(f) The issuance and delivery of the consent Certificates, the consummation of any other party of the transactions contemplated herein or any consentin the Pooling and Servicing Agreement, licensethe Insurance Agreement and the Indemnification Agreement, approval or authorization from, or registration or declaration with, any governmental authority, bureau or agency in connection with and the execution, delivery, performance, validity or enforceability fulfillment of the terms of this Agreement, except for such consentthe Pooling and Servicing Agreement, licensethe Insurance Agreement and the Indemnification Agreement, approval or authorization, or registration or declaration, as shall have been obtained or filed, as the case may be, prior to the Closing Date;
(iv) the execution, delivery do not and performance of this Agreement by the Seller will not conflict with or violate any term or provision of the Certificate or Articles of Incorporation or Bylaws of the Master Servicer, the Servicer, the Depositor or the Seller; any existing law statute, order or regulation or any order or decree of any court applicable to the Master Servicer, the Servicer, the Depositor or the Seller of any court, regulatory body, administrative agency or any provision of governmental body having jurisdiction over the articles of incorporation Master Servicer, the Servicer, the Depositor or bylaws of the Seller; and do not and will not conflict with, result in a breach or violation or the acceleration of, or constitute a material breach default under, or result in the creation or imposition of any lien, charge or encumbrance upon any of the property or assets of the Master Servicer, the Servicer, the Depositor or the Seller pursuant to the terms of, any indenture, mortgage, indenturedeed of trust, contract loan agreement or other agreement or instrument to which the Master Servicer, the Servicer, the Depositor or the Seller is a party or by which the Master Servicer, the Servicer, the Depositor or the Seller may be bound;
(v) no litigation or administrative proceeding of or before any court, tribunal or governmental body is currently pending, bound or to the knowledge which any of the property or assets of the Master Servicer, the Servicer, the Depositor or the Seller threatenedmay be subject, against except for conflicts, violations, breaches, accelerations and defaults which would not, individually or in the aggregate, be materially adverse to the Master Servicer, the Depositor, the Servicer or the Seller or any of its properties or with respect materially adverse to this Agreement which in the opinion of the Seller has a reasonable likelihood of resulting in a material adverse effect on the transactions contemplated by this Agreement; and.
(vig) Deloitte & Touche LLP is an independent public accountant with respect to the Master Servicer, the Servicer, the Depositor and the Seller as required by the 1933 Act and the Rules and Regulations.
(h) The direction by the Depositor to the Trustee to execute, countersign, issue and deliver the Certificates has been duly authorized by the Depositor, and assuming the Trustee has been duly authorized to do so, when executed, countersigned, issued and delivered by the Trustee in accordance with the Pooling and Servicing Agreement, the Certificates will be validly issued and outstanding and will be entitled to the benefits provided by the Pooling and Servicing Agreement.
(i) No consent, approval, authorization, order, registration or qualification of or with any court or governmental agency or body of the United States is required for the issuance or sale of the Class A Certificates, or the consummation by the Master Servicer, the Servicer, the Depositor or the Seller of the other transactions contemplated by this Agreement, the Pooling and Servicing Agreement, the Insurance Agreement or the Indemnification Agreement, as applicable except the registration under the 1933 Act of the Class A Certificates and such consents, approvals, authorizations, registrations or qualifications as may be required under state securities or Blue Sky laws in connection with the issuance of the Class A Certificates and the purchase and distribution of the Class A Certificates by the Underwriters or as have been obtained.
(j) The Master Servicer, the Servicer, the Depositor and the Seller possesses all material licenses, certificates, authorities or permits issued by the appropriate state, federal or foreign regulatory agencies or bodies necessary to conduct the business now conducted by it and as described in the Prospectus, and none of the Master Servicer, the Servicer, the Depositor or the Seller has been organized received notice of proceedings relating to the revocation or modification of any such license, certificate, authority or permit which, singly or in conformity with the requirements for qualification as a REIT; aggregate, if the Seller will file with subject of an unfavorable decision, ruling or finding, would materially and adversely affect the conduct of its federal income tax return for its taxable year ended December 31business, 2004, an election to be treated as a REIT for federal income tax purposes; and the Seller currently qualifies as, and it proposes to operate in a manner that will enable it to continue to qualify as, a REIToperations or financial condition.
(ck) The Seller hereby makes for At the benefit time of execution and delivery of the Issuer, the Indenture Trustee for the benefit of Noteholders, the Securities Administrator, the Master Servicer Pooling and the Depositor as of the Closing Date or such other date as is specifiedServicing Agreement, with respect to the Initial Mortgage Loans, and, with respect to the Subsequent Mortgage Loans and Eligible Substitute Mortgage Loans, as of the date on which such Mortgage Loan is transferred to the Trust (each, a "Transfer Date"), the Seller (i) will have good and marketable title to the Trust Balance of each such Mortgage Loan being transferred by it to the Depositor and to the Transferred Assets being transferred by it to the Trustee, free and clear of any lien, mortgage pledge, charge, encumbrance, adverse claim or other security interest (collectively "Liens"), other than, with respect to a second or more junior lien Mortgage Loan, the Lien of the related Senior Lien, (ii) will not have assigned to any person any of its right, title or interest in or to such Trust Balances or Transferred Assets and (iii) will have the power and authority to sell such Trust Balances to the Depositor and to assign the Transferred Assets to the Trustee; and upon the consummation of the sale and the assignment provided for pursuant to the terms of the Receivables Purchase Agreement and the Transfer Agreement, respectively, the Seller and the Trustee will have acquired beneficial ownership of all the related Subservicer's right, title and interest in and to the Trust Balances and Transferred Assets, respectively, other than the right or obligation to fund additional draws.
(l) At the time of execution and delivery of the Pooling and Servicing Agreement, with respect to the Initial Mortgage Loans, and as of the applicable Transfer Date, with respect to the Additional Mortgage Loans, the representations Depositor (i) will have good and warranties set forth marketable title to the Trust Balance of each such Mortgage Loan being transferred by it to the Trustee pursuant to the Pooling and Servicing Agreement, free and clear of and Liens other than, with respect to a second or more junior lien Mortgage Loan, the Lien of the related Senior Lien, (ii) will not have assigned to any person any of its right, title or interest in Exhibit or to such Trust Balances or under the Pooling and Servicing Agreement or the Certificates being issued pursuant thereto and (iii) will have the power and authority to sell such Trust Balances to the Trustee and to sell the Class A Certificates to the Underwriters, and upon execution and delivery of the Pooling and Servicing Agreement by the Trustee, the Trustee will have acquired beneficial ownership of all of the Depositor's right, title and interest in and to the Mortgage Loans, other than the right or obligation to fund additional draws, and upon delivery to the Underwriters of the Class A Certificates, the Underwriters will have good and marketable title to the Class A Certificates, in each case free of Liens except, in the case of the Mortgage Loan Purchase Loans, to the extent disclosed in the Prospectus.
(m) As of the Cut-Off Date for the Initial Mortgage Loans, each of the Initial Mortgage Loans will meet the eligibility criteria described in the Prospectus and the Pooling and Servicing Agreement and as of the Subsequent Cut-Off Date for the Additional or Subsequent Mortgage Loans and any Eligible Substitute Mortgage Loans and each of the Additional Mortgage Loans, as applicable, will meet the eligibility criteria applicable thereto described in the Pooling and Servicing Agreement.
(dn) To Neither the extent Master Servicer, the Servicer, the Seller, the Depositor nor the Trust created by the Pooling and Servicing Agreement will conduct their operations while any of the Class A Certificates are outstanding in a manner that any factwould require the Master Servicer, condition the Seller, the Servicer, the Depositor or event the Trust to be registered as an "investment company" under the Investment Company Act of 1940, as amended (the "1940 Act"), as in effect on the date hereof or require the Trust to be registered under the Trust Indenture Act of 1939, as amended (the "Trust Indenture Act") as in effect on the date hereof.
(o) At the Closing Time, the Certificates and the Pooling and Servicing Agreement will conform in all material respects to the descriptions thereof contained in the Prospectus.
(p) At the Closing Time, the Class A Certificates shall have been rated in the highest rating category by at least two nationally recognized rating agencies.
(q) Any taxes, fees and other governmental charges in connection with respect the execution, delivery and issuance of this Agreement, the Pooling and Servicing Agreement, the Insurance Agreement and the Certificates have been paid or will be paid at or prior to a Mortgage Loan constitutes a breach the Closing Time.
(r) At the Closing Time, each of a representation or warranty the representations and warranties of the Seller under subsection (c) above or the Mortgage Loan Purchase Agreement, the only right or remedy of the Indenture Trustee or any Noteholder hereunder shall be their rights to enforce the obligations of the Seller under any applicable representation or warranty made by it. The Indenture Trustee on behalf of the Issuer acknowledges that and the Depositor shall have no obligation or liability with respect to any breach of any representation or warranty with respect to the Initial Mortgage Loans (except as set forth in the Pooling and Servicing Agreement and the Insurance Agreement will be true and correct in all material respects. Any certificate signed by an officer of the Master Servicer, the Depositor, the Servicer or the Seller and delivered to you or counsel for the Underwriters in connection with an offering of the Class A Certificates shall be deemed, and shall state that it is, a representation and warranty as to the matters covered thereby to each person to whom the representations and warranties in this Section 3.01(a)(ii)) under any circumstances1 are made.

(iv) The Depositor has not transferred the Initial Mortgage Loans to the Trust Estate with any intent to hinder, delay or defraud any of its creditors; and;
(v) The Depositor has been duly organized and is validly existing as a corporation in good standing under the laws of Delaware, with full power and authority to own its assets and conduct its business as presently being conducted.; and
(b) The Seller hereby represents and warrants to the Issuer, the Indenture Trustee for the benefit of Noteholders, the Securities Trust Administrator, the Master Servicer Servicer, the Subservicer and the Depositor as of the Closing Date or such other date as is specified, that:
(i) the Seller is a Georgia corporationDelaware limited liability company, duly organized validly existing and in good standing under the laws of the State of GeorgiaDelaware, and has the corporate power to own its assets and to transact the business in which it is currently engaged. The Seller is duly qualified to do business as a foreign corporation limited liability company and is in good standing in each jurisdiction in which the character of the business transacted by it or any properties owned or leased by it requires such qualification and in which the failure so to qualify would have a material adverse effect on the business, properties, assets, or condition (financial or other) of the Seller;
(ii) the Seller has the corporate power and authority to make, execute, deliver and perform this Agreement and all of the transactions contemplated under the Agreement, and has taken all necessary corporate action to authorize the execution, delivery and performance of this Agreement. When executed and delivered, this Agreement will constitute the legal, valid and binding obligation of the Seller enforceable in accordance with its terms, except as enforcement of such terms may be limited by bankruptcy, insolvency or similar laws affecting the enforcement of creditors’ rights generally and by the availability of equitable remedies;
(iii) the Seller is not required to obtain the consent of any other party or any consent, license, approval or authorization from, or registration or declaration with, any governmental authority, bureau or agency in connection with the execution, delivery, performance, validity or enforceability of this Agreement, except for such consent, license, approval or authorization, or registration or declaration, as shall have been obtained or filed, as the case may be, prior to the Closing Date;
(iv) the execution, delivery and performance of this Agreement by the Seller will not violate any provision of any existing law or regulation or any order or decree of any court applicable to the Seller or any provision of the articles of incorporation or bylaws of the Seller, or constitute a material breach of any mortgage, indenture, contract or other agreement to which the Seller is a party or by which the Seller may be bound;
(v) no litigation or administrative proceeding of or before any court, tribunal or governmental body is currently pending, or to the knowledge of the Seller threatened, against the Seller or any of its properties or with respect to this Agreement which in the opinion of the Seller has a reasonable likelihood of resulting in a material adverse effect on the transactions contemplated by this Agreement; and
(vi) the Seller has been organized in conformity with the requirements for qualification as a REIT; the Seller will file with its federal income tax return for its taxable year ended December 31, 2004, an election Seller’s parent REIT elected to be treated as a REIT for federal income tax purposes; and the Seller currently qualifies as, Seller’s parent REIT has operated and it proposes will continue to operate in a manner that will enable it to continue to qualify as, maintain its current qualification as a REIT.;
(c) The Seller hereby makes for the benefit of represents and warrants to the Issuer, the Indenture Trustee for the benefit of Noteholders, the Securities Trust Administrator, the Master Servicer Servicer, the Subservicer and the Depositor as of the Closing Date or such other date as is specified, with respect to the Mortgage Loans, the representations and warranties set forth in Exhibit A Section 3.2 of the Mortgage Loan Purchase Agreement.
(d) To the extent that any fact, condition or event with respect to a Mortgage Loan constitutes a breach of a representation or warranty of the Seller under subsection (c) above or the Mortgage Loan Purchase Agreement, the only right or remedy of the Indenture Trustee or any Noteholder Certificateholder hereunder shall be their rights to enforce the obligations of the Seller under any applicable representation or warranty made by it. The Indenture Trustee on behalf of the Issuer acknowledges that the Depositor shall have no obligation or liability with respect to any breach of any representation or warranty with respect to the Mortgage Loans (except as set forth in Section 3.01(a)(ii)) under any circumstances.

(vvi) The Depositor has been duly organized and is validly existing as a corporation in good standing under the laws of the State of Delaware, with full power and authority to own its assets and conduct its business as presently being conducted.; and
(b) The Seller hereby represents and warrants to the Issuer, the Indenture Trustee for the benefit of Noteholders, the Securities Trust Administrator, the Master Servicer and the Depositor as of the Closing Date or such other date as is specified, that:
(i) the Seller is a Georgia corporation______________, duly organized validly existing and in good standing under the laws of the State of Georgia_____________, and has the corporate power to own its assets and to transact the business in which it is currently engaged. (iv) the execution, delivery and performance of this Agreement by the Seller will not violate any provision of any existing law or regulation or any order or decree of any court applicable to the Seller or any provision of the articles of incorporation or bylaws of the Seller, or constitute a material breach of any mortgage, indenture, contract or other agreement to which the Seller is a party or by which the Seller may be bound;; 52
(v) no litigation or administrative proceeding of or before any court, tribunal or governmental body is currently pending, or to the knowledge of the Seller threatened, against the Seller or any of its properties or with respect to this Agreement which in the opinion of the Seller has a reasonable likelihood of resulting in a material adverse effect on the transactions contemplated by this Agreement; and
(vi) the Seller has been organized in conformity with the requirements for qualification as a REIT and currently qualifies as a REIT; the Seller will file with its federal income tax return for its taxable year ended December 31, 2004, has filed an election to be treated as a REIT for federal income tax purposes; and the Seller currently qualifies as, has operated in a manner and it proposes will continue to operate in a manner that will enable it to continue to qualify as, maintain its current qualification as a REIT.
(c) The Seller hereby makes for the benefit of represents and warrants to the Issuer, the Indenture Trustee for the benefit of NoteholdersNoteholders and the Swap Counterparty, the Securities Trust Administrator, the Master Servicer Servicer, the Subservicer and the Depositor as of the Closing Date or such other date as is specified, with respect to the Mortgage Loans, the representations and warranties set forth in Exhibit A Section 3.2 of the Mortgage Loan Purchase Agreement.
(d) To the extent that any fact, condition or event with respect to a Mortgage Loan constitutes a breach of a representation or warranty of the Seller under subsection (c) above or the Mortgage Loan Purchase Agreement, the only right or remedy of the Indenture Trustee or any Noteholder Certificateholder hereunder shall be their rights to enforce the obligations of the Seller under any applicable representation or warranty made by it. The Indenture Trustee on behalf of the Issuer acknowledges that the Depositor shall have no obligation or liability with respect to any breach of any representation or warranty with respect to the Mortgage Loans (except as set forth in Section 3.01(a)(ii)) under any circumstances.

(v) The Depositor has been duly organized and is validly existing as a corporation limited liability company in good standing under the laws of the state of Delaware, with full power and authority to own its assets and conduct its business as presently being conducted.; and
(b) The Seller hereby represents and warrants to the IssuerIssuing Entity, the Indenture Trustee for the benefit of NoteholdersNoteholders and the Swap Counterparty, the Securities Trust Administrator, the Master Servicer and the Depositor as of the Closing Date or such other date as is specified, that:
(i) the Seller is a Georgia [__________] corporation, duly organized validly existing and in good standing under the laws of the State of Georgia[______________], and has the corporate power to own its assets and to transact the business in which it is currently engaged. (iii) the Seller is not required to obtain the consent of any other party or any consent, license, approval or authorization from, or registration or declaration with, any governmental authority, bureau or agency in connection with the execution, delivery, performance, validity or enforceability of this Agreement, except for such consent, license, approval or authorization, or registration or declaration, as shall have been obtained or filed, as the case may be, prior to the Closing Date;
(iv) the execution, delivery and performance of this Agreement by the Seller will not violate any provision of any existing law or regulation or any order or decree of any court applicable to the Seller or any provision of the articles of incorporation or bylaws of the Seller, or constitute a material breach of any mortgage, indenture, contract or other agreement to which the Seller is a party or by which the Seller may be bound;
(v) no litigation or administrative proceeding of or before any court, tribunal or governmental body is currently pending, or to the knowledge of the Seller threatened, against the Seller or any of its properties or with respect to this Agreement which in the opinion of the Seller has a reasonable likelihood of resulting in a material adverse effect on the transactions contemplated by this Agreement; and
(vi) the Seller has been organized in conformity with the requirements for qualification as a REIT and currently qualifies as a REIT; the Seller will file with its federal income tax return for its taxable year ended December 31, 2004, has filed an election to be treated as a REIT for federal income tax purposes; and the Seller currently qualifies as, has operated in a manner and it proposes will continue to operate in a manner that will enable it to continue to qualify as, maintain its current qualification as a REIT.
(c) The Seller hereby makes for represents and warrants to the benefit of the IssuerIssuing Entity, the Indenture Trustee for the benefit of NoteholdersNoteholders and the Swap Counterparty, the Securities Trust Administrator, the Master Servicer and the Depositor as of the Closing Date or such other date as is specified, with respect to the Mortgage Loans, the representations and warranties set forth in Exhibit A Section 3.2 of the Mortgage Loan Purchase Agreement.
(d) To the extent that any fact, condition or event with respect to a Mortgage Loan constitutes a breach of a representation or warranty of the Seller under subsection (c) above or the Mortgage Loan Purchase Agreement, the only right or remedy of the Indenture Trustee or any Noteholder Certificateholder hereunder shall be their rights to enforce the obligations of the Seller under any applicable representation or warranty made by it. The Indenture Trustee on behalf of the Issuer acknowledges that the Depositor shall have no obligation or liability with respect to any breach of any representation or warranty with respect to the Mortgage Loans (except as set forth in Section 3.01(a)(ii)) under any circumstances.

(b) The Seller hereby represents and warrants to the Issuer, the Indenture Trustee for the benefit of NoteholdersCertificateholders, the Securities Administrator, the Master Servicer and the Depositor as of the Closing Date or such other date as is specified, that:
(i) the Seller is a Georgia [Florida] corporation, duly organized validly existing and in good standing under the laws of the [State of GeorgiaFlorida], and has the corporate power to own its assets and to transact the business in which it is currently engaged. The Seller is duly qualified to do business as a foreign corporation and is in good standing in each jurisdiction in which the character of the business transacted by it or any properties owned or leased by it requires such qualification and in which the failure so to qualify would have a material adverse effect on the business, properties, assets, or condition (financial or other) of the Seller;
(ii) the Seller has the corporate power and authority to make, execute, deliver and perform this Agreement and all of the transactions contemplated under the Agreement, and has taken all necessary corporate action to authorize the execution, delivery and performance of this Agreement. When executed and delivered, this Agreement will constitute the legal, valid and binding obligation of the Seller enforceable in accordance with its terms, except as enforcement of such terms may be limited by bankruptcy, insolvency or similar laws affecting the enforcement of creditors’ rights generally and by the availability of equitable remedies;

(iii) the Seller is not required to obtain the consent of any other party or any consent, license, approval or authorization from, or registration or declaration with, any governmental authority, bureau or agency in connection with the execution, delivery, performance, validity or enforceability of this Agreement, except for such consent, license, approval or authorization, or registration or declaration, as shall have been obtained or filed, as the case may be, prior to the Closing Date;
(iv) the execution, delivery and performance of this Agreement by the Seller will not violate any provision of any existing law or regulation or any order or decree of any court applicable to the Seller or any provision of the articles of incorporation or bylaws of the Seller, or constitute a material breach of any mortgage, indenture, contract or other agreement to which the Seller is a party or by which the Seller may be bound;
(v) no litigation or administrative proceeding of or before any court, tribunal or governmental body is currently pending, or to the knowledge of the Seller threatened, against the Seller or any of its properties or with respect to this Agreement which in the opinion of the Seller has a reasonable likelihood of resulting in a material adverse effect on the transactions contemplated by this Agreement; and
(vi) the Seller has been organized in conformity with the requirements for qualification as a REIT; the Seller will file with its federal income tax return for its taxable year years ended December 31, 2003 and December 31, 2004, an election to be treated as a REIT for federal income tax purposes; and the Seller currently qualifies as, and it proposes to operate in a manner that will enable it to continue to qualify as, a REIT.
(c) The Seller hereby makes for the benefit of represents and warrants to the Issuer, the Indenture Trustee for the benefit of NoteholdersNoteholders and the Swap Counterparty, the Securities Trust Administrator, the Master Servicer Servicer, the Subservicer and the Depositor as of the Closing Date or such other date as is specified, with respect to the Mortgage Loans, the representations and warranties set forth in Exhibit A Section 3.2 of the Mortgage Loan Purchase Agreement.
(d) To the extent that any fact, condition or event with respect to a Mortgage Loan constitutes a breach of a representation or warranty of the Seller under subsection (c) above or the Mortgage Loan Purchase Agreement, the only right or remedy of the Indenture Trustee or any Noteholder Certificateholder hereunder shall be their rights to enforce the obligations of the Seller under any applicable representation or warranty made by it. The Indenture Trustee on behalf of the Issuer acknowledges that the Depositor shall have no obligation or liability with respect to any breach of any representation or warranty with respect to the Mortgage Loans (except as set forth in Section 3.01(a)(ii)) under any circumstances.

(v) The Depositor has been duly organized and is validly existing as a corporation limited liability company in good standing under the laws of the State of Delaware, with full power and authority to own its assets and conduct its business as presently being conducted.; and
(b) The Seller hereby represents and warrants to the Issuer, the Indenture Trustee for the benefit of Noteholders, the Securities Trust Administrator, the Master Servicer and the Depositor as of the Closing Date or such other date as is specified, that:
(i) the Seller is a Georgia Maryland corporation, duly organized validly existing and in good standing under the laws of the State of GeorgiaMaryland, and has the corporate power to own its assets and to transact the business in which it is currently engaged. The Seller is duly qualified to do business as a foreign corporation and is in good standing in each jurisdiction in which the character of the business transacted by it or any properties owned or leased by it requires such qualification and in which the failure so to qualify would have a material adverse effect on the business, properties, assets, or condition (financial or other) of the Seller;
(ii) the Seller has the corporate power and authority to make, execute, deliver and perform this Agreement and all of the transactions contemplated under the Agreement, and has taken all necessary corporate action to authorize the execution, delivery and performance of this Agreement. When executed and delivered, this Agreement will constitute the legal, valid and binding obligation of the Seller enforceable in accordance with its terms, except as enforcement of such terms may be limited by bankruptcy, insolvency or similar laws affecting the enforcement of creditors’ rights generally and by the availability of equitable remedies;

(d) To the extent that any fact, condition or event with respect to a Mortgage Loan constitutes a breach of a representation or warranty of the Seller under subsection (c) above or the Mortgage Loan Purchase Agreement, the only right or remedy of the Indenture Trustee or any Noteholder Certificateholder hereunder shall be their rights to enforce the obligations of the Seller under any applicable representation or warranty made by it. The Indenture Trustee on behalf of the Issuer acknowledges that the Depositor shall have no obligation or liability with respect to any breach of any representation or warranty with respect to the Mortgage Loans (except as set forth in Section 3.01(a)(ii)) under any circumstances.

(vi) the Seller has been organized in conformity with the requirements for qualification as a REIT and currently qualifies as a REIT; the Seller will file with its federal income tax return for its taxable year ended December 31, 2004, has filed an election to be treated as a REIT for federal income tax purposes; and the Seller currently qualifies as, has operated in a manner and it proposes will continue to operate in a manner that will enable it to continue to qualify as, maintain its current qualification as a REIT.
(c) The Seller hereby makes for the benefit of represents and warrants to the Issuer, the Indenture Trustee for the benefit of NoteholdersNoteholders and the Swap Counterparty, the Securities Trust Administrator, the Master Servicer Servicer, the Subservicer and the Depositor as of the Closing Date or such other date as is specified, with respect to the Mortgage Loans, the representations and warranties set forth in Exhibit A Section 3.2 of the Mortgage Loan Purchase Agreement.

(b) The Seller hereby represents and warrants to the Issuer, the Indenture Trustee for the benefit of Noteholders, the Securities Trust Administrator, the Master Servicer Servicer, the Subservicer and the Depositor as of the Closing Date or such other date as is specified, that:
(i) the Seller is a Georgia corporationDelaware limited liability company, duly organized validly existing and in good standing under the laws of the State of GeorgiaDelaware, and has the corporate power to own its assets and to transact the business in which it is currently engaged. The Seller is duly qualified to do business as a foreign corporation and is in good standing in each jurisdiction in which the character of the business transacted by it or any properties owned or leased by it requires such qualification and in which the failure so to qualify would have a material adverse effect on the business, properties, assets, or condition (financial or other) of the Seller;
