Common use of Representations and Warranties of the Executive Clause in Contracts

Representations and Warranties of the Executive. The Executive hereby represents and warrants that he has the full legal capacity to enter into this Agreement and that there is no agreement to which he is a party or beneficiary that would prevent, contravene or otherwise adversely impact the Executive’s ability to comply with the terms and obligations set forth herein.

The Executive hereby represents and warrants that he to the Company as follows: (a) the Executive has the full legal capacity and unrestricted right to enter into execute and deliver this Agreement and that there is no agreement to perform all of his obligations hereunder, and (b) the execution and delivery of this Agreement by the Executive and the performance of his obligations hereunder will not violate or be in conflict with any fiduciary or other duty, instrument, agreement, document, arrangement or other understanding to which he the Executive is a party or beneficiary that would prevent, contravene by which he is bound or otherwise adversely impact the Executive’s ability to comply with the terms and obligations set forth hereinsubject.

The Executive hereby represents and warrants to the Company that he has the full legal capacity right to enter into this Agreement and the Proprietary Information Agreement and to perform all of the obligations on his part to be performed hereunder and thereunder in accordance with their respective terms, and that there is no agreement to which he is not a party to any agreement or beneficiary understanding, written or oral, that would prevent, contravene could prevent him from entering into this Agreement or otherwise adversely impact the Executive’s ability to comply with the terms Proprietary Information Agreement or performing all of his obligations hereunder and obligations set forth hereinthereunder.
