REPRESENTATIONS AND WARRANTIES OF THE HPSEBL. The HPSEBL represents and warrants that as of the date hereof: (a) the HPSEBL is an entity duly licensed under the Electricity Act, 2003 and validity existing under the Laws of India and has all requisite legal power and authority to execute the Agreement and to carry out the terms, conditions and provisions hereof; (b) the Agreement constitutes the valid, legal and binding obligation of the HPSEBL, enforceable in accordance with the terms hereof except as the enforceability may be limited by applicable bankruptcy, insolvency, reorganisation, moratorium or other similar Laws affecting creditors' rights generally and to the extent that the remedies of specific performance, injunctive relief and the reforms of equitable relief are subject to equitable defence, the discretion of the court before which any proceeding therefor may be brought, and the principles of equity in general;
