Common use of Representations and Warranties of the Investment Manager Clause in Contracts

Representations and Warranties of the Investment Manager. The Investment Manager represents and warrants that: (a)it is duly registered as an investment adviser under the U.S. Investment Advisers Act of 1940, as amended, and (b) it is duly licensed by the Securities and Futures Commission of Hong Kong, and that it will use its reasonable efforts to maintain effective such registration and license during the term of this Agreement.

Representations and Warranties of the Investment Manager. The Investment Manager represents and warrants that: (a)it that it is duly registered as an investment adviser under the U.S. Investment Advisers Act of 1940, as amended, and (b) it is duly licensed by the Securities and Futures Commission of Hong Kong, and that it will use its reasonable efforts to maintain effective such registration and license during the term of this Agreement.

The Investment Manager represents and warrants that: : (a)it a) It is duly registered as an investment adviser under the U.S. Investment Advisers Act of 1940, as amended, and (b) it is duly licensed by the Securities and Futures Commission of Hong Kong, 1940 and that it will use its reasonable efforts to maintain effective such registration promptly advise the Client if at any time it is not so registered; and (b) Its execution and license during the term delivery of this AgreementAgreement have been authorized by appropriate corporate action and do not violate any obligation by which it is bound, and this Agreement when executed and delivered by the parties will be binding upon the Investment Manager.
