REPRESENTATIONS AND WARRANTIES OF THE LIQUIDITY PROVIDER. The representations and warranties set out in this Article V are given hereunder by the Liquidity Provider on the Effective Date, except with respect to the representations and warranties set forth in (i) the last sentence of Section 5.06, which shall be given on the Effective Date and as of each date on which VRDP Shares are remarketed and (ii) Section 5.07, which shall be given on the Effective Date and on each date subsequent to the Effective Date on which the Liquidity Provider Information is provided to Holders or Beneficial Owners or potential Holders or Beneficial Owners of VRDP Shares.
