REPRESENTATIONS AND WARRANTIES OF THE MAJOR STOCKHOLDER. The Major Stockholder represents and warrants to the Parent Companies, and the Parent Companies in agreeing to consummate the transactions contemplated by this Agreement have relied upon such representations and warranties, that:

In order to induce the Investors to enter into this Agreement and consummate the transactions contemplated hereby, the Major Stockholder makes to the Investors the representations and warranties contained in this Section 2. The representations and warranties set forth under this Section 2, regardless of their terms, shall not be deemed to extend to any matter that is a subject of indemnification pursuant to Section 5.2(c).
