REPRESENTATIONS AND WARRANTIES OF THE OPTIONEE. The Optionee represents, warrants and covenants to and with the Company as follows, and acknowledges that the Company is relying upon such covenants, representations and warranties in connection with the granting of the Options to the Optionee and the offer, sale and issuance of the Option Shares to the Optionee upon exercise of this Option:

REPRESENTATIONS AND WARRANTIES OF THE OPTIONEE. The Optionee represents, represents and warrants and covenants to and with the Company as follows, that: • The Optionee has the full power and acknowledges that authority to enter into this Agreement and to perform its obligations hereunder. • The execution and delivery of this Agreement by the Company is relying upon such covenants, representations and warranties in connection with Optionee have been duly authorized by all necessary action on the granting part of the Options to the Optionee and the offer, sale and issuance of the Option Shares to the Optionee upon exercise of this Option:Optionee.
